1. These Terms & Conditions

1.1. These are the terms and conditions on which Burrwood Interiors Ltd. ("Burrwood Interiors”, “Burrwood", "us", "ours") supplies its products ("Items") to you ("Client", you”, “yours”), via the Burrwood website or when you place an order in person at Burrwood’s showroom.
1.2. Before placing an order, please read these terms and conditions carefully. These terms explain who we are, how we provide the items, the process for changing or ending a contract, how to handle problems, and other important information about your purchase. By placing an order, you agree to these terms. If you do not agree with any part of these terms, you should not proceed with your purchase.

At Burrwood Interiors, we offer different terms for consumers and business customers. This ensures that your rights and responsibilities are appropriate for your type of purchase, whether it's for personal use or your business. Please read the following sections carefully to understand which category applies to you.

Consumer Clients:
You are considered a consumer if:

  • You are an individual (not a company or organization); and
  • You are purchasing items primarily for personal use, not for use in a trade, business, craft, or profession.

If your purchase is for personal use, our consumer terms apply to you. If not, you will be treated as a business customer.

Business Clients:
If you are purchasing items for business purposes, these terms form the entire agreement between you and Burrwood Interiors. This means that any prior discussions, promises, or representations not included in these terms do not apply. You agree that you cannot make a claim based on anything that wasn’t specifically stated in these terms, including any unintentional misrepresentations.


2. Information about Burrwood Interiors

2.1. Burrwood Interiors Ltd. is a company registered in England and Wales with company registration number 15662631, our registered office is at: 2 Highlands Court, Cranmore Avenue, Shirley, Solihull, B90 4LE. Our registered VAT number is GB 466 7659 34.

2.3 Burrwood Interiors owns or holds the license for all intellectual property rights related to this website, our social media pages, and all other marketing, advertising, and publicity materials. This includes any content, images, videos, and other materials published. These works are protected by copyright laws and treaties worldwide, and all rights are reserved.

You may not use, copy, modify, or distribute any of the content or materials from our website, social media, or any other Burrwood materials without prior written consent. This includes all illustrations, photographs, videos, audio, and graphics.

If you wish to use any of Burrwood’s intellectual property, you must first obtain a license or written permission from Burrwood or its licensors.

For business clients:
If you breach this clause by using Burrwood’s intellectual property without permission, you agree to indemnify Burrwood for any resulting liabilities, damages, losses, fines, expenses, or costs (including reasonable legal fees). This means that you will be responsible for covering any losses Burrwood incurs as a result of your unauthorized use.

3. Contract

3.1 These terms constitute the entire agreement between Burrwood Interiors Ltd and the Purchaser regarding the sale and delivery of goods. Burrwood will make every effort to deliver colours that match any sample provided. However, descriptions and illustrations of any Goods or Materials are intended to serve as a general representation and are not guaranteed to be precise in detail or colour. The Purchaser shall not be entitled to reject the Goods or claim damages for any slight variation in shade.

3.2 If we are producing Items based on the measurements provided by the Client, it is the Client’s responsibility to ensure the accuracy of these measurements. Burrwood shall not bear any responsibility or liability to the Client, nor will it be obligated to replace or refund any Items when incorrect measurements are provided by the Client, rendering the Items unsuitable for the Client’s intended use.

4 Quotations
This/these quotations remain open for acceptance for a period of thirty days from the date hereof. To accept the quotation, the Purchaser must return the quotation duly signed, along with the required remittance, which is 100% of the total price including VAT.

5 Purchase orders must be in writing and contain all necessary information to initiate production of the Goods. This includes Purchaser name, address, phone, and email address, delivery details, item name, style, dimensions, and color, along with any other specific details related to the order. A Proforma invoice/confirmation will be issued by Burrwood Interiors Ltd to verify order specifications. For Burrwood to accept a custom or special order, confirmation of custom product specifications, such as product drawings and/or finish samples, must be explicitly approved in writing. Burrwood requests such approval within five (5) business days of the Purchaser receiving the drawings and/or finish samples. Requests for any changes must be in writing. If the change cannot be implemented or the consequences of the change are unacceptable to the Client, the Client has the option to either proceed with the original order or terminate the contract under these terms and conditions. However, the Client may still be responsible for some or all of the order's value as detailed herein.

6.0 Delivery

6.1 During the ordering process, Burrwood will provide the Client with an estimated delivery date or timeframe for the delivery of the Item(s).

6.2 For items sourced from Burrwood's suppliers, the order will not be processed until full payment has been received. The lead time for production will begin from the date Burrwood receives payment in full.

6.3 If delivery is delayed due to events outside of Burrwood’s control, we will inform the Client as soon as possible and take steps to minimize the delay. While Burrwood cannot be held responsible for such delays, the Client may cancel the order if a significant delay is expected. In this case, a refund will be provided for any Item(s) paid for but not delivered, subject to any cancellation fees from the supplier.

6.4 Upon delivery or collection, the Client should inspect the Item(s) immediately. Please report any issues, such as damage or incorrect items, in writing within 48 hours of delivery to ensure we can address the issue promptly

7.0 Cancellations and Cooling-Off Period

Consumer Clients:

7.1. If you are a consumer and have purchased most items via Burrwood’s website, you have the right to cancel your order within 14 days under the Consumer Contracts Regulations 2013. This excludes:

  • Bespoke items or items made to order
  • Fabric that has been cut

If you cancel within the 14-day cooling-off period, you will receive a refund. After the 14-day period, the same terms apply as if the item(s) were purchased from Burrwood’s showroom."

Business Clients:

7.2. Business customers must submit all cancellation requests in writing. Burrwood may, at its discretion, agree to cancel the order if:

  • The fabric has not been cut
  • Production has not started

A 20% handling charge may apply if Burrwood agrees to the cancellation."

Consumer and Business Clients:

7.3. Unless otherwise stated in Clause 8.1 or as required by law, no cancellations or amendments are allowed for:

  • Bespoke or made-to-measure items
  • Fabric or wallpaper that has been cut or hung
  • Items sealed for health or hygiene purposes, once unsealed by the Client
  • Items that have been mixed inseparably with other goods after delivery.

8. Returns and Refunds

General:
8.1. Burrwood operates a 14-day return policy, subject to a consumer’s additional rights as set out in Clauses 8.5 and 8.6 and subject to the non-refundable Items listed in Clause 7.3. The Client may return an Item within 14 days, provided it:

  • Is returned in its original condition
  • Includes proof of receipt

Clients can either return the Item(s) in person or arrange for Burrwood to collect them. Any return after 14 days, without cause, is at Burrwood's discretion and may incur a carriage and 20% restocking fee.

8.2. Fabric and wallpaper may only be returned if unused and in their original condition. Claims for faulty fabric or wallpaper cannot be made once they have been cut or hung. A 20% restocking fee will apply to all fabric and wallpaper returns

8.3 Home and personal fragrances including candles, diffusers, room sprays, all toiletries, must be returned unused, in its original packaging, unopened and undamaged. Burrwood will not exchange Products returned by the Customer that do not correspond to the products ordered and detailed on their receipt.

8.4 Fine linens, we want you to be delighted with your purchase. If the goods you have chosen do not meet with your full approval, please return them to us within 14 days of receipt, unopened, unused and in their original packaging, and we will be happy to exchange them or issue you with a store credit. Burrwood will not exchange Products returned by the Customer that do not correspond to the products ordered and detailed on their receipt.


Consumer Clients:
8.5. If the Client is exercising their right to change their mind under Clause 7.1, the following conditions apply:

  • Burrwood may reduce the refund amount (excluding delivery costs) if the returned Item(s) show signs of handling that would not be permitted in a showroom.
  • If Burrwood issues a refund before inspecting the Item(s) and later discovers improper handling, the Client may need to pay an appropriate amount to cover any damages.
  • Burrwood will issue any refund within 14 days of either:
  • Receiving the returned Item(s); or
  • The Client providing proof that they have returned the Item(s).

If Burrwood is due to collect the Item(s), the refund will be issued within 14 days of the Client notifying Burrwood of their decision to cancel."

8.6. Under the Consumer Rights Act 2015, the Client is entitled to the following:

  • Up to 30 days: If the Item(s) are faulty, the Client is entitled to an immediate refund.
  • Up to six months: If the Item(s) cannot be repaired or replaced, the Client is entitled to a full refund in most cases.
  • Up to six years: If the Item(s) do not last a reasonable length of time, the Client may be entitled to a partial refund."

Business Clients:

8.7. Business clients must first contact Burrwood to discuss return requests. Returns will not be accepted without prior written agreement from Burrwood.

8.8. Items must be carefully inspected upon receipt. Although Burrwood makes every effort to inspect orders before delivery, errors or damage during transit may occur.

8.9. If Burrwood agrees to accept a return, and the Client wishes Burrwood to arrange collection, the Item must be repackaged in its original packaging or a similarly protective manner.

8.10. A 20% handling fee and any carriage costs may be deducted from the refund. Returns will not be accepted if:

  • The invoice is dated over 30 days
  • The fabric or trimming has been cut
  • Wallpaper has been hung
  • The Item is a custom order or has been treated or altered in any way

8.11. Refunds will be issued using the same payment method originally used by the Client, with deductions applied as described in Clause 8.8.

9.0 Warranties

Burrwood Interiors Ltd offers a 1-year warranty on all products for structural faults caused by manufacturing defects. This warranty does not cover:

  • Lampshades
  • Damages resulting from:
  • Shipping
  • Accidents
  • Alterations or tampering
  • Misuse, negligence, or abuse
  • Ordinary wear and tear

Exclusions: Burrwood is not responsible for damages caused by:

  • Natural fading, discoloration, or oxidation
  • Exposure to humidity, sunlight, or salt air
  • Any other unsuitable environmental conditions

Material Variations: Due to the natural qualities of materials like wood, stone, glass, iron, and brass, variations in tone, color, texture, and character are inherent. These variations are expected and are not considered defects.

10.0 Payment Terms

10.1 Burrwood accepts payment by credit or debit card and bank transfer

10.2 Unless otherwise agreed in writing, the Client must pay for the Item(s) before Burrwood dispatches them or makes them available for collection. For deliveries, Burrwood will not charge the Client’s credit or debit card until the Item(s) have been dispatched.

11.0 Liabilty

Consumer Clients:

11.1. Burrwood is responsible for any loss or damage the Client suffers that is a foreseeable result of Burrwood's breach of contract or failure to exercise reasonable care and skill. However, Burrwood is not responsible for any loss or damage that is not foreseeable. Loss or damage is considered foreseeable if either it is obvious that it will occur or if both Burrwood and the Client knew it might happen when the contract was formed (e.g., if discussed during the sales process). Burrwood is also not liable for indirect or consequential losses arising from the contract.

11.2. Burrwood does not limit or exclude liability in circumstances where it would be unlawful to do so. This includes liability for:

  • Death or personal injury caused by Burrwood’s negligence or that of its employees, agents, or subcontractors;
  • Fraud or fraudulent misrepresentation;
  • Breach of the Client's legal rights regarding the Items, including the right to receive goods that:
  • Match the description provided;
  • Are of satisfactory quality;
  • Are fit for any particular purpose disclosed to Burrwood;
  • Are supplied with reasonable care and skill;
  • Defective products under the Consumer Protection Act 1987.

11.3. If the Client is a consumer, Burrwood supplies Items only for domestic and private use. If the Client uses the Item(s) for commercial, business, or resale purposes, Burrwood’s liability will be limited as outlined in Clauses 11.4-11.5

Business Clients:

11.4. Burrwood does not limit or exclude liability for:

  • Death or personal injury caused by Burrwood's negligence, or the negligence of its employees, agents, or subcontractors;
  • Fraud or fraudulent misrepresentation;
  • Breach of implied terms under section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982;
  • Any matter where it would be unlawful to exclude or restrict liability.

11.5. Subject to Clause 11.4:

  • Burrwood is not liable for loss of profit or indirect or consequential loss arising from any contract. This includes but is not limited to loss of business, business interruption, or loss of business opportunity.
  • Burrwood's total liability for all other losses under the contract, whether in contract, tort (including negligence), or breach of statutory duty, is limited to the total purchase price of the Item(s) under the contract. Burrwood is not liable for any indirect or consequential loss or damage under any circumstances.

12. General Terms

12.1. Variation: Any amendment or variation to the contract is only valid if it is in writing and signed by both parties.

12.2. Severability: If any part of the contract is deemed invalid or unenforceable by a court or authority, the invalid part will be severed, and the remainder of the contract will continue to be valid.

12.3. Waiver: If Burrwood delays or fails to enforce any of its rights under the contract, it does not waive those rights, which remain in effect.

12.4. Entire Agreement: This contract represents the full agreement between the parties concerning its subject matter, overriding any prior written or oral agreements. Each party confirms that they do not rely on any statement or representation not included in the contract.

12.5. Force Majeure: Burrwood is not liable for failure to fulfill its obligations under the contract due to events beyond its control (e.g., strikes, natural disasters, pandemics, etc.). Burrwood will make reasonable efforts to minimize the impact of such events. If a force majeure event continues for more than 3 months, Burrwood may terminate the contract without further liability.

12.6. Assignment: Burrwood may transfer its rights and obligations under this contract to another organization. The Client will be notified in writing if this occurs, and their rights will remain unaffected. The Client may only transfer their rights or obligations if Burrwood agrees in writing.

12.7. Third-Party Rights: Unless explicitly stated, no one other than the parties to the contract has the right to enforce any of its terms, and the Contracts (Rights of Third Parties) Act 1999 does not apply.

12.8. Complaints: If the Client has any questions or complaints about the Items, they should contact Burrwood. Burrwood is legally required to supply Items that conform to the contract. These terms do not affect the Client's statutory rights.

12.9. Governing Law: The contract, including any non-contractual obligations, is governed by English law.

12.10. Jurisdiction:

  • Consumer Clients: Clients may bring legal proceedings regarding the Items in the English courts, or in the Scottish or Northern Irish courts if residing in those jurisdictions.
  • Business Clients: All disputes arising from the contract will be resolved exclusively by the courts of England and Wales.
